Retention of Title: The merchandise remains the property of alwitra until full payment is made. The Principal can process and sell the merchandise but cannot use it as security. Alwitra retains ownership or co-ownership of any new object created from the merchandise.
Claims and Enforcement: Claims against purchasers are assigned to alwitra upon resale. The Principal must notify alwitra of any third-party seizures. Alwitra may release merchandise if its value exceeds secured claims by over 50%.
Jurisdiction and Applicable Law: Legal disputes are handled in Trier or the Principal's location, under German law, excluding the UN Convention on Contracts for the International Sale of Goods.
Data Protection: Alwitra stores and may transfer data from the contractual relationship for processing purposes.
Offer and Contract Conclusion: Offers are non-binding unless specified. Contracts require written agreements, with amendments needing written or electronic form.
Prices and Payment: Prices are in Euros, ex-works, with additional services invoiced separately. Payments are due upon invoice reception, with interest on late payments.
Delivery and Time of Delivery: Delivery dates are approximate unless confirmed. Alwitra is not liable for delays due to force majeure. Partial deliveries are allowed under certain conditions.
Liability and Damages: Alwitra's liability is limited if in default or delivery becomes impossible. The Principal is liable for damages if they cause delivery delays.
Place of Performance, Shipping, Packaging, Transfer of Risk, Acceptance:
- The place of performance is at alwitra's discretion, either in Trier or Hermeskeil, unless otherwise agreed.
- Shipping and packaging are determined by alwitra.
- Risk transfers to the Principal at the start of loading, even for partial deliveries. If delays are due to the Principal, risk transfers when ready for dispatch.
- Storage costs post-risk transfer are the Principal's responsibility.
- Shipping insurance is provided if requested by the Principal at their expense.
- Acceptance is assumed if delivery and installation are complete, notice is given, 12 working days pass, or the product is used without defects being raised.
- The warranty period is one year from delivery or acceptance, five years for buildings or building materials causing defects.
- Specific legal regulations apply for claims involving third parties or deceit.
- Alwitra has a history of innovations in roofing products, including the first multipart roof edge trim profile and power-generating synthetic waterproofing membrane.
- The company offers flat roof systems, EVALON® and EVALASTIC®, known for durability and ease of installation.
- Product dimensions are nominal, and prices exclude VAT.
